Terms of Service

The terms that govern your use of RevFence.

By registering for or using RevFence, you accept these Terms of Service. If you act on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

RevFence is offered only to businesses acting for commercial or professional purposes and is not intended for individual consumer use.

01The RevFence service

RevFence is a software service used to manage subscription cancellation processes, collect cancellation reasons and present offers that aim to retain the subscription, according to rules set by the Customer.

The features RevFence offers may change over time. Changes that materially affect the core use of the service will be communicated through appropriate channels.

02Creating an account and account security

You must provide accurate, current and complete information when creating an account.

To the extent permitted by applicable law, you are responsible for the security of your account and sign-in details. If you believe your account has been used without authorization or its security has been compromised, you must notify RevFence without delay.

03Use of the service

You may use RevFence only for lawful purposes and in accordance with these Terms.

You are responsible for presenting the cancellation flows and offers shown through RevFence to your own customers, for determining their content and for their commercial suitability.

RevFence provides the technical infrastructure and carries out authorized operations according to the rules and offers you configure. However, you are responsible for ensuring that the discounts, offers and subscription changes you provide, and the related customer notices, comply with the law, your contracts and your commercial practices.

For transactions carried out through Stripe or another third-party service, the rules and technical requirements of that third party also apply.

You are responsible for complying with applicable consumer, subscription, e-commerce and data protection laws in the cancellation, discount and subscription-change processes you offer to your customers.

04Acceptable use

You may not use RevFence for any of the following purposes:

  • Carrying out unlawful, deceptive or fraudulent activities
  • Bypassing or disabling security controls
  • Gaining unauthorized access or interfering with other users’ accounts
  • Sending malware or harmful code
  • Placing an unreasonable load on the service infrastructure
  • Reselling the service without RevFence’s written permission
  • Reverse engineering, except where permitted by law
  • Infringing the rights of third parties
  • Engaging in automation or similar activity that disrupts the normal operation of the service

RevFence may investigate uses that pose a risk to security or the integrity of the service and may restrict access where necessary.

05Customer content and data

You retain your rights in the content and data you manage through RevFence.

You grant RevFence the right to use that content and data only to the extent necessary to provide the service, ensure its security, resolve technical issues and carry out your instructions. This limited right does not transfer ownership of your data to RevFence.

RevFence may use anonymized or aggregated data that cannot be linked to an identified or identifiable person in order to improve the service and evaluate its performance.

You represent that you hold the necessary permissions, legal basis and authority for the data and content you provide to RevFence.

The processing of personal data is also governed by the Data Processing Agreement and the Privacy Policy.

06Third-party services

RevFence may integrate with Stripe and other third-party service providers.

Use of these services is subject to the terms of the relevant third parties. RevFence does not guarantee that third-party services outside its control will be available uninterrupted or continuously.

Payment and subscription operations carried out through Stripe are subject to Stripe’s own terms of service and technical requirements.

07Fees and payment

You are responsible for paying the fees of the plan you choose, applicable taxes and any additional usage rights you purchase, in accordance with the stated payment terms.

The number of cancellation sessions included in your plan and the additional cancellation sessions you purchase are subject to the conditions shown in your account and on the pricing page.

Cancellation sessions included in your monthly plan are used first. Additional cancellation sessions you have purchased can be used once the usage included in the plan is exhausted.

Plan upgrades, plan downgrades, usage limits and purchases of additional cancellation sessions are subject to the conditions shown on the relevant purchase screen.

Unless stated otherwise, your subscription renews automatically at the end of the relevant billing period. To stop renewal, you must cancel your subscription before the next billing date.

RevFence may change plans, usage limits, features and fees. Fee changes that affect existing subscriptions will be notified appropriately before they take effect.

Apart from taxes that RevFence is required to collect, you are responsible for applicable taxes and similar legal obligations arising from your use of the service.

08Free usage and promotions

RevFence may offer free cancellation sessions, discounts or other promotions to certain accounts or plans.

Eligible accounts may be granted the number of free cancellation sessions stated on the sign-up or pricing page. Free usage rights are subject to the conditions stated in the relevant offer or pricing page.

RevFence may change the scope, duration and eligibility conditions of free usage or promotions. Conditions stated separately for an existing offer continue to apply to it.

Promotions are not transferable and cannot be redeemed for cash.

09Intellectual property

The RevFence software, design, interface, brand and other elements provided as part of the service belong to RevFence or its licensors.

For as long as your subscription continues, you are granted a limited, non-exclusive and non-transferable right to use the service for your own business activities and in accordance with these Terms.

You may not use the RevFence name, logo or other brand elements without prior written permission.

10Feedback

We may use suggestions, ideas or feedback you give to RevFence to improve the service.

Unless expressly stated to be confidential, our use of such feedback does not create any obligation to pay a fee or compensation.

11Availability

RevFence makes reasonable efforts to provide the service reliably and as continuously as possible.

However, interruptions may occur due to maintenance, security incidents, third-party services, infrastructure problems, internet outages, force majeure or similar circumstances.

Unless there is a separate written service level commitment, RevFence does not guarantee that the service will be uninterrupted or error-free.

12Confidentiality

The parties agree to protect information obtained from the other party in connection with the service that is confidential by its nature, and to use it only for purposes required by the service relationship.

Confidential information may be shared only with employees, advisors and service providers who need to know it and who are bound by appropriate confidentiality obligations.

Information that has become public, was lawfully obtained from another source, or was developed independently without use of the other party’s confidential information is excluded from this obligation.

If disclosure of information is required by law or by a competent authority, the other party will be notified in advance to the extent permitted by law.

13Suspension

RevFence may temporarily suspend access to the service in the following cases:

  • A breach of these Terms
  • Failure to pay an amount due on time
  • A risk arising that affects the security of the service or other users
  • Suspicion of unauthorized or unlawful use
  • Suspension being necessary to comply with a legal obligation

Where circumstances allow, the Customer will be informed before or after suspension. When the reason for suspension no longer exists, reasonable efforts will be made to restore access.

14Termination

The Customer may cancel their subscription through account settings or other methods offered by RevFence. Unless stated otherwise, cancellation takes effect at the end of the current subscription period.

If either party materially breaches these Terms and does not remedy the breach within a reasonable time after written notice, the other party may terminate the agreement.

Where the breach cannot be remedied, or in the case of unlawful activity or serious security threats, RevFence may terminate the service or close the account immediately.

After termination, provisions that by their nature must continue, including payment, confidentiality, intellectual property, liability and dispute provisions, remain in force.

15Data export and deletion

Before terminating your account, you are responsible for exporting the data you need using the technical means made available.

Personal data is deleted or anonymized in accordance with the Data Processing Agreement and applicable legal retention obligations.

Some data may be retained for certain periods because of legal retention obligations and ordinary technical backup processes.

16Warranties

Each party represents that it has the authority to accept these Terms and to perform the obligations under them.

RevFence aims to provide the service with reasonable care and to professional standards.

To the extent permitted by applicable law, the service is provided “as is” and “as available”.

RevFence does not guarantee any particular commercial outcome, uninterrupted service, that all errors will be fixed, or that the service will meet a particular business need.

Reports and information provided by RevFence do not constitute legal, financial or tax advice.

17Limitation of liability

To the extent permitted by applicable law, RevFence is not liable for indirect damages, loss of profit, loss of revenue, loss of business opportunity, loss of reputation or loss of data.

RevFence’s total liability for all claims arising from these Terms or the service may not exceed the total fees paid by the Customer to RevFence in the 12 months before the event giving rise to liability. If the service relationship has lasted less than 12 months, the total fees paid during that period apply.

Related events are treated as a single series of events for the purpose of applying this limit.

Intent, gross negligence, fraud, breach of confidentiality, infringement of intellectual property rights and other liabilities that cannot be limited by law are excluded from this limitation.

18Indemnity

To the extent permitted by applicable law, the Customer agrees to cover reasonable losses and expenses incurred by RevFence due to the Customer’s unlawful use of the service, breach of these Terms, lack of the necessary rights and permissions in the content or data transferred to the service, or third-party claims arising from offers made to the Customer’s own customers.

RevFence will notify the Customer of the claim without delay and provide reasonable cooperation in the defense. The Customer may manage the defense and settlement negotiations; however, the Customer may not enter into a settlement that imposes liability on RevFence, includes an admission of fault or imposes an obligation other than the payment of money without RevFence’s prior written consent.

19Force majeure

Natural disasters, war, acts of terrorism, epidemics, strikes, internet or power outages, acts of public authorities, third-party infrastructure outages and similar events beyond a party’s reasonable control are treated as force majeure.

The affected party will make reasonable efforts to reduce the impact of the event and to resume performing its obligations.

20Changes to the Terms

RevFence may update these Terms because of changes in the service, technology, business activities or legal requirements.

Changes that materially affect the Customer’s rights will be notified through appropriate channels before they take effect.

If you continue to use the service after the updated Terms take effect, you accept the new Terms. If you do not wish to accept the changes, you may stop using the service and cancel your subscription.

21Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of laws rules.

The competent courts of London, England have exclusive jurisdiction over disputes arising from or in connection with these Terms.

This provision does not remove mandatory statutory rights that cannot be limited under applicable law.

22General provisions

These Terms and the other documents expressly incorporated in relation to the service constitute the entire agreement between the parties.

If any provision is invalid or unenforceable, the validity of the other provisions is not affected.

Failure or delay in exercising a right does not mean that the right has been waived.

The Customer may not assign its rights and obligations under these Terms without RevFence’s prior written consent. RevFence may assign its rights and obligations under these Terms within the relevant legal limits in connection with a merger, restructuring, sale of the company or sale of the relevant line of business.

Headings are used for readability only and do not affect the interpretation of the provisions.
